The AirAsia-Citibank Credit Card New Year Celebration Contest was held from 17 January to 10 March 2012. Eligible customers were selected based on the highest participated contest entries. Every RM100 spent in Malaysia qualified customers for one contest entry while RM100 or its equivalent spent overseas on a single receipt qualified them for five contest entries.
Eligible customers were shortlisted and were required to answer five questions over the phone in the fastest time. Customers who answered all the questions correctly in the quickest time were announced as the winners.

| 1. |
These terms and conditions will apply in conjunction with the Citibank Card Terms and Conditions ("Citibank Card Terms and Conditions") and all terms and conditions will apply here to the Gold MasterCard and Silver MasterCard Co-branded Credit Card. All the expressions here have the same meanings as stated in the Citibank Card Terms and Conditions except where the context requires otherwise or where expressly stated to the contrary. |

“AirAsia” means AirAsia Berhad (Company No. 284669-W) and/or any of its subsidiaries, affiliates and joint venture companies. |
| |
|
| |
“AirAsia E-Gift voucher” means e-vouchers issued by AirAsia which can be used to redeem or purchase any AirAsia Products and Services (defined below). |
| |
|
| |
“AirAsia Points” means the points awarded to Cardmebers in respect of all expenditure charged to the Co-brand Credit Card (except expenditure which is not eligible for AirAsia Points, as may be determined by Citibank) which may be used by the Cardmembers to redeem AirAsia Products and Services. |
| |
|
| |
“AirAsia Points Program” means the program under which Cardmembers are entitled to certain benefits as determined by Citibank and/or AirAsia Berhad (Company No. 284669-W) in respect of purchases made with the Co-brand Credit Card. |

|
| |
“AirAsia Products and Services” means flights, products and/or services available for purchase by the public at www.airasia.com.. |
| |
|
| |
“Cardmember” means the holder of Gold MasterCard and Silver MasterCard (defined below) and includes both principal and supplementary Cardmembers unless stated otherwise.

| |
|
| |
“Co-branded Credit Card” means credit card (principal and/or supplementary) issued by Citibank, which included the cards printed, all with AirAsia logo and/or any other name, logo and/or trademark of AirAsia as may be determined by Citibank. |
| |
|
| |
“Gold MasterCard” means, for the purpose of these Terms and Conditions, Gold MasterCard Co-branded Credit Card issued by Citibank. |
| |
|
| |
“Silver MasterCard” means, for the purpose of these Terms and Conditions, Silver MasterCard Co-branded Credit Card issued by Citibank. |
| |
|
| 2. |
The AirAsia Points Program is applicable to the Cardmembers: |
| |
| (a) |
with valid and good credit standing; |
| (b) |
has not defaulted in payment; |
| (c) |
has not exceeded the credit limit; and/or |
| (d) |
is not a bankrupt; |
| (e) |
whose Gold MasterCard and/or Silver MasterCard has/have not been blocked, suspended or terminated by Citibank; and/or |
| (f) |
who has not or is not suspected to have commited any fraudulent or unlawful acts in respect of any Credit Card, facilities or services granted by Citibank, including Citibank Online, accessible via the Website, as defined below. |

|
| |
| 2.1 |
Subject to Clause 2.2 below, Cardmembers are not entitled to participate in any other reward programs offered by Citibank with respect to the credit cards issued by Citibank other than the Co-Branded Credit Card unless Citibank determines otherwise. |
| 2.2 |
Cardmembers are however allowed to participate in the Citibank Rewards Program for AirAsia-Citibank Gold MasterCard and Silver MasterCard to redeem items in the Citibank Rewards Program catalogue in accordance to the Citibank Rewards Program terms and conditions which can be found at www.citirewards.com. |
| 2.3 |
Holders of credit cards issued by Citibank other than the Co-Branded Credit Card are not entitled to participate in the AirAsia Points Program, unless Citibank determines otherwise. |

| 3. |
Cardmembers are entitled to the following benefits under the AirAsia Points Program:: |
| |
| 3.1 |
Cardmembers can earn AirAsia Points in the following manner: |
| |
| (a) |
Every Ringgit Malaysia One (RM1) charged to the Co-Brand Card and the Supplementary Co-Brand Credit Card entitles the Co-Brand Cardholder to one (1) AirAsia Point; and |
| (b) |
An additional one (1) AirAsia Point for every Ringgit Malaysia One (RM1) charged to the Co-Brand Credit Card if the Co-Brand Cardholder has an opening carry forward balance of equal to or more than Ringgit Malaysia Two Thousand (RM2,000) in the Card Account. |

| 3.2 |
Subject to Clauses 10 and 11 below, there is no expiry date on AirAsia Points awarded. |
| 3.3 |
AirAsia Points can be redeemed for AirAsia E-Gift vouchers according to the following tier (subject to changes or otherwise stated): |

| 3.5 |
Citibank is not liable for any changes made by AirAsia on the terms and conditions governing the AirAsia E-Gift vouchers for which the Cardmember may suffer any loss or damages. |
| 3.6 |
Cardmembers can redeem AirAsia E-Gift vouchers on Citibank Rewards Program website accessible via www.citirewards.com or by calling CitiPhone at the numbers provided on that website. Once a Cardmember has obtained and is in receipt of AirAsia E-Gift vouchers, they will become the sole responsibility of the Cardmember. Citibank will not be liable to replace any AirAsia E-Gift vouchers which may be lost (deleted or expired) or used by a third party with or without authority of the Cardmember. The Cardmember is responsible for not disclosing his/her password. |
| 3.7 |
Any dispute which arises in connection with the redemption of the AirAsia E-Gift voucher and the use of the AirAsia Products and Services will be settled between the Cardmember and AirAsia. |
| 3.8 |
For the avoidance of any doubt, only the principal Cardmember can redeem the AirAsia Points and is entitled to the items stated in Clause 3.3 above during the principal Cardmember’s lifetime. |
| 3.9 |
The principal Cardmember may however nominate another person, including a supplementary Cardmember, to receive items stated in Clause 3.3 redeemed by the principalCardmember. |
| 3.10 |
Cardmembers are entitled to the following promotions: - |
| |
| (a) |
Citibank World Privileges (CWP), which consists of discounts & privileges at selected Citibank merchants’ outlets; and |
| (b) |
Mass usage offers which consists of promotions, contests and marketing campaigns which apply to all Citibank credit cards. |

|
| |
|
| 4. |
Citibank has the right as it deems fit to vary the benefits or rewards of the Co-Brand Credit Card as stipulated in these Terms and Conditions, by giving notice, including in the manner set out in Clause 5 below. Such variation may include, among other things, a variation of the mechanism for the calculation and award of AirAsia Points. Such variations are effective on the date stipulated in the notice. |

| 5. |
Citibank reserves the right as it deems fit to change any of these Terms and Conditions by giving notice. Such notice, including the notice stated in Clause 4 above may be given by way of posting on Citibank’s website www.citibank.com.my (“Website”), or in any other manner deemed suitable by Citibank. The Cardmembers agree to access the Website at regular time intervals to view these Terms and Conditions and to ensure that they are kept up-to-date with any variations to these Terms and Conditions. The Cardmembers agree that their continued usage of the Co-Brand Credit Card constitutes their acceptance of these Terms and Conditions (as varied or changed). |

| 6. |
Citibank will not be liable for any default due to any act of God, war, riot, strike, lockout, industrial action, fire, flood, drought, storm, epidemic, technical or system failure or any event beyond the reasonable control by Citibank. |
| |
|
| 7. |
For the avoidance of any doubt , AirAsia Points will NOT be given for any: - |
| |
| (a) |
Gasoline transactions; |
| (b) |
Outstanding balance transferred by the Cardmember from any other credit card account to the Co-Brand Credit Card account under the Citibank Balance Transfer Program, Balance Transfer via Instalment Plan (BTI) or similar program of any name; |
| (c) |
Cash advance or cash withdrawal debited to the Co-Brand Credit Card account; |
| (d) |
Citibank Dial-for-Cash (DFC)/ Citibank Flexi Payment Plan (FPP) or a similar program of any name; |
| (e) |
refunded, disputed, unauthorized or fraudulent retail transactions; |
| (f) |
Payment made towards any fees and/or charges prescribed by Citibank to be paid to or in connection with the Co-Brand Credit Card (including entrance fee, annual fee, finance charges, handling charges and late payment charges); |
| (g) |
Government service tax and any other similar taxes of any name; and/or |
| (h) |
Charges to the Co-Brand Credit Card which are disputed by the Cardmember which are subsequently reversed by Citibank. |

| |
|
| 8. |
AirAsia Points accumulated by supplementary Co-Brand Cardmembers will be credited into the respective principal Cardmember’s Co-Brand Credit Card Account. The total AirAsia Points in the Co-Brand Credit Card account of the principal Co-Brand Cardholder will be indicated on the respective monthly statement of account. The maximum AirAsia Points in a 12-months period commencing from and including the date the respective Co-Brand Credit Card of the Cardmembers is issued and each following 12-month period is capped at 200,000 AirAsia Points. Once the maximum AirAsia Points has been given to a Cardmember in a 12-months period for each Co-branded Credit Card, no AirAsia Points will be awarded even if: |

| (i) |
the Cardmembers charges further amounts to the Co-Brand Credit Card; or |
| (ii) |
carries forward balances to the following statement date; or |
| (iii) |
the Cardmembers redeems part or all of the AirAsia Points awarded. |
|
| |
|
| 9. |
AirAsia Points may be redeemed only by the principal Co-Brand Cardholder during his/her lifetime. |
| |
|
| 10. |
| (1) |
Once a proposed redemption is approved by Citibank, the equivalent amount of AirAsia Points which the principal Cardmember wishes to redeem will be deducted from the total AirAsia Points in the respective Co-Brand Credit Card account of the principal Cardmember. |
| (2) |
Once AirAsia Points are redeemed and deducted from the Co-Brand Credit Card account, the said AirAsia Points will be extinguished and cannot be reinstated under any circumstances. |
| (3) |
Citibank’s records are conclusive evidence of the amount of AirAsia Points in the Co-Brand Credit Card account at all times. |
|

|
| 11. |
Proposed redemptions are only approved by Citibank if there are sufficient AirAsia Points in the Co-Brand Credit Card account of the principal Cardmember. Upon approval by Citibank, redemptions may not be revoked, cancelled or exchanged for other redeemable items. |
| |
|
| 12. |
The Cardmember acknowledges that there is a lapse of time between transactions made using the Co-Brand Credit Card and the crediting of the AirAsia Points into his/her respective Co-Brand Credit Card account. Citibank will credit the AirAsia Points into the respective Co-Brand Credit Card account on the transaction posting date, and not the date the transaction is charged to the respective Co-Brand Credit Card. As such, Citibank does not represent and warrant that the AirAsia Points collected before a proposed redemption are immediately available for redemption. |
| |
|
| 13. |
| (1) |
Citibank gives no representation or warranty on the quality, including merchantable quality of any AirAsia Products and Services or their suitability for any purpose. Any dispute in relation to the redemption and purchase of AirAsia Products and Services must be settled directly between the Cardmember and AirAsia and/or as the case may be, the supplier or manufacturer. Citibank will not be responsible for resolving such disputes. |
| (2) |
Citibank is not responsible for resolving such disputes referred to in paragraph (1) of this Clause 13 or for the dispute itself. Citibank is also not responsible or liable for any delay, inability or negligence on the part of AirAsia to perform any of its obligations in relation to the AirAsia Products and Services as redeemed by principal Co-Brand Cardmembers. |
| (3) |
Citibank is only an issuer of credit cards and is not an agent for AirAsia, merchants or third party vendors. Citibank will not be liable for any injury, loss or damage the Cardmember has suffered and if applicable, accompanying persons arising from or out of the redemption of any AirAsia Points and/or AirAsia E-Gift voucher, including any injury or loss suffered as a result of AirAsia Products and Services, flights and holiday packages, cancellation of flights and holiday packages, extra charge, delay and resulting from any advice, pointers, tips and directions contained in any publication or printed material pertaining to them or from the loss, theft, destruction of any AirAsia Products and Services. |

| 14. |
Citibank may as it deems fit: |
| |
| (1) |
deduct or cancel any AirAsia Points from any Co-Brand Credit Card account; or |
| (2) |
reject or cancel any redemption requested by a principal Cardmember with notice. |
|
| |
|
| 15. |
Any remaining AirAsia Points in the Co-Brand Credit Card account which are pending to be fulfilled or delivered to a Cardmember will immediately cease to be valid and Citibank shall not be liable for any refund, extension or compensation upon the occurrence of any of the following: |
| |
| (a) |
any blocking, suspension or cancellation of any Gold MasterCard and/or Silver MasterCard ; |
| (b) |
any conversion of any Co-branded Credit Card to any other Citibank credit card; |
| (c) |
the Co-branded Credit Card account or any of the Cardmember’s accounts becomes delinquent or the Cardmember has defaulted in any payments to Citibank; |
| (d) |
the Cardmember ceases to have valid and good credit standing; |
| (e) |
the Cardmember is a bankrupt or has exceeded his/her credit limit; or |
| (f) |
if a Cardmember has committed or is suspected of committing any fraudulent or unlawful acts in relation to any of his/her Citibank credit card account(s) or any other Citibank services or facilities including Citibank Online, accessible via the Website. |

|
| 16. |
For the avoidance of any doubt, AirAsia Points may not be transferred or exchanged for cash, credit or kind whether in part or in full. |

| 17. |
These terms and conditions are governed by and construed under the laws of Malaysia. |
